1. HOW TO ENTER: The Amp’d Mobile Supercross Sweepstakes (“Sweepstakes”) begins at 12:01 a.m. (Pacific Time [“PT”]) on March 20, 2006 and ends at 11:59 p.m. (PT) on May 22, 2006 (“Sweepstakes Period”). To enter, visit http://supercross.ampd.com, fill in the online entry form and submit it in accordance with the on-screen directions during the Sweepstakes Period, and you will be entered once. All required information requested in the entry form must be provided or entry will be disqualified. Limit of one (1) entry per person permitted. Entries must be received by 11:59 p.m. (PT) on May 22, 2006. Neither Amp’d Mobile, Inc. (“Sponsor”) nor RPMC, Inc. (“Sweepstakes Administrator”) will verify receipt of entries. All entries submitted become the sole property of Sponsor and will not be acknowledged or returned.

2. ELIGIBILITY: To enter the Sweepstakes you must be a lawful permanent resident of the U.S. (except residents of Alaska, Florida, Hawaii, New York, Rhode Island, Puerto Rico and U.S. territories and possessions) who is 18 years of age or older and be physically located in the U.S. at the time of entry. Sweepstakes is void in Alaska, Florida, Hawaii, New York, Rhode Island, Puerto Rico, U.S. territories and possessions and where restricted or prohibited by law. The Sweepstakes, and any web site pages and advertisements relating thereto, are intended for viewing only within the United States. You are not authorized to participate in the Sweepstakes if you are not located within the United States. Employees, officers and directors of Sponsor, Fanscape, Inc., Sweepstakes Administrator, their respective affiliated companies, parents, subsidiaries and advertising and promotion agencies (collectively, “Sweepstakes Entities”), and their immediate families (parents, children, siblings and spouse, regardless of where they live) and members of their households (whether related or not) are ineligible to participate in this Sweepstakes.

3. DRAWING AND NOTIFICATION: The Sweepstakes Administrator, an independent judging organization whose decisions are final and binding in all respects, will select winners of the prizes described herein by conducting a random drawing on or about May 25, 2006. Odds of winning a prize depend on the total number of eligible entries received during the Sweepstakes Period. Potential winners will be notified by telephone, mail or email, at Sponsor’s discretion. If a potential winner cannot be personally contacted within seven (7) days from the first notification attempt, then such person will be disqualified and an alternate winner will be selected.

4. PRIZES:

Two (2) Grand Prizes: One Amp’d Mobile Limited Edition 2006 Yamaha Motorcycle will be awarded to each Grand Prize winner. A total of two motorcycles will be awarded in this Sweepstakes and the choice of the winner of each shall be determined by a random drawing. The first motorcycle (model number YZ450F) has an approximate retail value (“ARV”) of $6,899. The second motorcycle (model number YZ250F) has an ARV of $5,999. The actual value of each prize may vary. Any difference between the actual value and ARV will not be awarded. The Sponsor will deliver each prize to the winner at no charge to the winner. However, each winner is responsible for all taxes and other expenses incurred in claiming, registering or using the vehicle, including, but not limited to, sales tax, luxury tax, registration, title and license fees, insurance, extended warranties and pre-delivery inspections. The prize consists of only those items specifically described as part of the prize. Each Grand Prize winner is responsible for paying for and obtaining all registration, title, licenses, and/or other documentation required for the ownership and usage of the Grand Prize, including proof of insurance. Each Grand Prize winner is also responsible for obtaining (at his/her own expense) any safety equipment required to operate each motorcycle prior to operating it. The total ARV for the two Grand Prizes is $12,898.00.

Twenty-Five (25) First Prizes: An Amp’d Supercross SWAG gift pack which consists of a T-Shirt and hat each autographed by a Supercross celebrity. (ARV $50.00 each). Sponsor makes no representation or warranty that autographed prizes can be sold, bartered, or traded for at the stated values. Values are subject to market conditions, which can fluctuate. Autographs are subject to each celebrity’s availability. The choice of each celebrity is at Sponsor’s sole discretion. The total ARV for the twenty-five First Prizes is $1,250.00.

The total approximate retail value of all prizes is $14,148.00.

5. GENERAL PRIZE CONDITIONS/RESTRICTIONS: All prizes offered are being provided “as is” with no warranty or guarantee by Sponsor, either express or implied. Any and all warranties and/or guarantees on a prize (if any) are subject to the respective manufacturer’s terms therefore, and winner agrees to look solely to such manufacturer(s) for any such warranty and/or guarantee. No transfer, substitution, upgrade, credit, refund or cash equivalent for prizes is allowed except at Sponsor’s sole discretion. Sponsor reserves the right, in Sponsor’s sole and absolute discretion, to substitute a prize or prize component of equal or greater value if a prize cannot be awarded as described for any reason. Limit of one (1) prize per person/family/household. All prizes will be awarded. Please allow 6-8 weeks for delivery of prizes. Insurance, tips, taxes and other expenses not specified are not included and are the sole responsibility of each winner. Each potential Grand Prize winner will be required to execute and return an Affidavit of Eligibility, a Liability Release and a Publicity Release (except where prohibited) (“Affidavit/Release”). If a potential Grand Prize winner is deemed a minor in his/her state of residence, then the parent/legal guardian of such minor must also sign any documents required herein. All documents must be returned to the Sweepstakes Administrator by the date and/or time indicated within such documents. If a potential Grand Prize winner fails to return such documents within the specified time period, or if an entrant is found to be ineligible, or if he/she does not comply with the Official Rules, then the potential winner will be disqualified and an alternate winner will be selected. If a prize or prize notification is returned as undeliverable, this will result in disqualification and an alternate winner will be selected. All federal, state or other tax liabilities (including income taxes) arising from this Sweepstakes will be the sole responsibility of each winner. Except where prohibited by law, the winner’s entry and acceptance of the prize constitutes winner’s permission for the Sweepstakes Entities and those acting under their authority to use said winner’s name, photograph, likeness, statements, biographical information, voice, and address (city and state only) on a worldwide basis, and in all forms of media, in perpetuity, for advertising or promotional purposes without review or further compensation.

6. SWEEPSTAKES CONDITIONS: This Sweepstakes is subject to all applicable federal, state and local laws. By participating, entrants agree to abide by and be bound by these Official Rules and the decisions of the Sponsor and Sweepstakes Administrator and waive any right to claim ambiguity in the Sweepstakes or these Official Rules. By participating, winners and entrants agree to release, discharge, indemnify and hold harmless Amp’d Mobile, Inc., Fanscape, Inc. and RPMC, Inc., and each of their respective officers, directors, employees, representatives and agents from and against any claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from a) acceptance, receipt, possession, misuse or use of any prize or participation in any Sweepstakes-related activity or participation in this Sweepstakes, b) any malfunction of the entry website, c) any error in the collection or retention of entry information, or d) any typographical or other error in the printing, offering or announcement of any prize. Winner assumes all liability for any injury or damage caused, or claimed to be caused, by participating in this Sweepstakes or use or redemption of any prize.

7. LIMITATIONS OF LIABILITY: Sweepstakes Entities are not responsible for lost, late, misdirected, undeliverable or incomplete entries due to system errors or failures, or faulty transmissions or other telecommunications malfunctions and/or entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, or failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, or faulty transmissions, or for any problems or technical malfunction(s) of any telephone network or lines, computer online systems, servers or providers, computer equipment, or entries not received by Sponsor on account of technical problems, or any combination thereof, including other telecommunications malfunctions which may limit an entrant’s ability to participate. The Sweepstakes Entities are also not responsible for any malfunction of the entire website or error in the collection or retention of entry information. Sponsor may prohibit an entrant from participating in the Sweepstakes or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Sponsor representatives. Sponsor assumes no responsibility for computer system, phone line, hardware, software or program malfunctions or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Sponsor is not responsible for incorrect or inaccurate entry of information caused by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of the entries in the Sweepstakes. Sponsor assumes no responsibility for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries and is not responsible for errors in printing or presentation of the Sweepstakes. Entries received from persons residing in geographic areas in which entry is not permissible will be disqualified. If for any reason this Sweepstakes is not capable of running as planned, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud or any other causes beyond the reasonable control of Sponsor which corrupt or affect the administration, security, fairness, integrity, fulfillment or proper conduct of the promotion, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes and select winners by conducting a random drawing from those eligible entries received up to the cancellation/suspension date. Sponsor reserves the right to disqualify any entrant that Sponsor determines, in its sole discretion, has threatened the operation of this Sweepstakes or violated these Official Rules. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

USE OF INFORMATION: By entering for the Sweepstakes you will be agreeing that your entry and any other information collected in connection with the Sweepstakes (including any mobile phone information collected in connection with your registration for the promotion) may be used by Amp’d Mobile and Fanscape in accordance with their Privacy Policies and may be shared with Sponsor's affiliated business entities, and that you opt-in to receive email text messages or other communications from Amp’d Mobile or Fanscape. You may subsequently opt-out of the receipt of such email or communications by following the directions in the email or communications, or by contacting Sponsor directly. Opting-out will not affect your participation, or chances to win, in the Sweepstakes.
